Interpretation
Words with initial capital letters have meanings defined below. The following definitions apply whether they appear in singular or plural.
Definitions
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares or voting securities.
Company (referred to as “TAI Marking Ltd”, “TAI”, “we”, “us”, or “our”) means TAI Marking Ltd, 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
Country refers to England and Wales.
Device means any device that can access the Service (e.g., computer, phone, or tablet).
Service means the TAI platform, including our websites (e.g., taimarking.com, app.taimarking.com), web app, and mobile applications.
Terms means these Terms and Conditions forming the entire agreement between you and TAI regarding use of the Service.
Third-party Service means any services, content, or software provided by a third party that may be displayed in, linked from, or integrated with the Service.
You means the individual user, or the school/institution or other legal entity on whose behalf the Service is accessed.
Acknowledgment
These Terms govern your use of the Service. By accessing or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.
You represent that you are over 18. The Service is intended for professional educational use. If you use the Service on behalf of a school or institution, you confirm you have authority to do so.
Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and disclose personal information and your rights. Please read it carefully before using the Service.
1. About the Service
TAI is an AI-powered marking assistant that helps teachers and schools generate feedback, track progress, and streamline marking workflows. Access is offered on a subscription basis according to your selected plan (e.g., Basic, Pro, Enterprise).
2. Eligibility
To use TAI, you must be:
a registered teacher, school staff member, or administrator; and
18+, or using the Service under institutional supervision.
Using the Service on behalf of a school confirms you have authority to bind that institution to these Terms.
3. User Responsibilities
You agree to:
use the Service only for educational purposes;
provide accurate, lawful information;
keep login credentials secure;
ensure any student data shared complies with school policies and applicable data protection laws.
You must not:
attempt to reverse-engineer, exploit, or misuse the Service;
share your account with unauthorised users;
upload malicious or harmful content.
4. Student Data and Privacy
We collect minimal student data, typically:
first name or unique identifier,
additional learning needs (e.g., SEND),
work submissions (text or images) and related metadata.
You are responsible for ensuring that data you upload is lawful and compliant with your policies and local law. See our Privacy Policy for full details (including retention options, legal bases, and data subject rights).
5. Subscriptions and Payments
Plans are billed monthly or annually.
Each plan includes the features advertised at purchase.
Pricing may change with notice.
You may cancel or downgrade at any time via your dashboard or by contacting support; access continues until the end of the current billing period.
Free trials (if offered) are limited to one per user/institution unless stated otherwise.
Data retention by plan (defaults):
Basic: feedback & generated PDFs retained 30 days
Pro: 90 days
Enterprise: custom (as agreed)
6. Intellectual Property
The Service (including software, content, and designs) is owned by TAI Marking Ltd and protected by applicable IP laws. Except for rights expressly granted, no licence is provided. You may not copy, modify, distribute, or create derivative works without our prior written consent.
7. Availability and Support
We aim for 99.9% uptime and offer support via email and chat (and 24/7 helpline for Enterprise, where applicable). Temporary interruptions may occur. We are not liable for downtime or data loss, subject to the Limitation of Liability below.
8. Termination
We may suspend or terminate access immediately, without prior notice, if you:
breach these Terms;
use the Service unlawfully or harmfully; or
otherwise jeopardise the security or operation of the Service.
You can cancel any time; access will remain active until the end of your billing cycle.
9. Limitation of Liability
To the maximum extent permitted by law, TAI and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, business interruption, personal injury, or privacy loss) arising from or related to your use of the Service, even if advised of the possibility.
Our aggregate liability under these Terms is limited to the amount you paid for the Service in the 12 months preceding the claim (or £100 if no amounts were paid).
Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the greatest extent permitted by law.
10. “AS IS” and “AS AVAILABLE” Disclaimer
The Service is provided “as is” and “as available.” We disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, title, non-infringement, and those arising from course of dealing. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.
AI outputs are drafts. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing and approving content before sharing or printing.
11. Governing Law
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction over disputes, without prejudice to mandatory consumer protections where applicable.
12. Dispute Resolution
Before filing a claim, you agree to first try to resolve concerns informally by contacting us. We’ll aim to respond promptly.
13. EU/UK Users
If you are a consumer resident in the EU or UK, you benefit from any mandatory provisions of your local law that apply in addition to these Terms.
14. U.S. Trade Compliance
You represent that you are not located in a country subject to U.S. embargo or designated as “terrorist supporting,” and are not on any U.S. government list of prohibited or restricted parties.
15. Severability and Waiver
If any provision is held unenforceable, it will be modified to achieve its intent to the fullest extent permitted, and the remaining provisions will remain in effect. Failure to enforce any right is not a waiver of that right.
16. Translation
If we provide a translation of these Terms, the English version controls in case of conflict.
17. Changes to These Terms
We may modify these Terms at any time. If changes are material, we will provide reasonable notice (e.g., 30 days) before they take effect. By continuing to use the Service after the effective date, you agree to the updated Terms.
